No access when converting password protected file from FM3 to FM10

Finally looking to move to a newer version of FM than FM3 but am running into a problem converting some files.  Opening it fine with FM10 and it does the conversion but having some issues.

 

Within FM3 using the password I can see all the content of the file.  Even if I go in with the blank password for read only I can at least see the records.  However once I've converted and I login as guest or with the previous password (as username and pw) I get a nice grey "no access" screen. 

 

Anyone have any thoughts?  I tried recovering the file but the same results.  I am in browse mode so I don't know why it didn't seem to take the access rights.
